Course Description: This course examines the governance mechanisms and regulatory choices that shape decision-making and organizational performance. Students will explore the foundations of corporate governance within diverse international and legal environments, including the role, duties, structure, and accountability of boards of directors. The course covers strategic oversight, risk management, CEO succession planning, executive compensation, and stock ownership as tools for aligning management behavior with corporate objectives. Students will also apply concepts of financial reporting, external auditing, the market for corporate control, and shareholder activism as external accountability mechanisms. The course concludes with an analysis of governance rating systems and alternative governance models, enabling students to derive and build evidence-based best practices in governance design and reform.

Upon completion of this course, the student will be able to:
Understanding the foundations of corporate governance, international governance frameworks, and the duties, structure, and accountability of boards of directors.
 Assessment of strategic oversight, risk management, CEO succession planning, executive compensation, and equity ownership.
 Application of financial reporting concepts, external auditing, corporate governance market, and shareholder activism.
Analysis of governance assessment systems and alternative governance models, and extraction of best governance practices.
